Shareholders

Hampden & Co has around 350 shareholders, the largest of whom is a Private Family Office.

Other major shareholders include the Hampden Group, Catlin Insurance Company Limited (a subsidiary of AXA XL) and Drake Enterprises A.G

Chairman

Simon was appointed Chairman in May 2020, having previously helped to found the bank in 2010 under our original name Scoban. He has served as a non-executive director with Adam & Company and as executive chairman of Dunedin Capital, and is currently chairman of Brewin Dolphin, non-executive chairman at BlackRock North American Income and a senior independent director at STV Group plc. Simon is a Barrister and read law at Cambridge University.

Non-Executive Director

Finlay joined the Board in May 2020 as a non-executive director and Chairman of the Audit Committee. A qualified Chartered Account, Finlay was formerly Chief Financial Officer of Virgin Money plc and a former divisional finance director, head of internal audit, and head of mergers and acquisitions at RBS Group. Finlay is also an independent non-executive director of Paragon Bank plc, and is Chairman of the Risk & Compliance Committee and a member of the Audit Committee at Paragon.

David joined the Board in October 2020 as a non-executive director and Chairman of the Risk Committee (subject to regulatory approval). A qualified Actuary, David is currently Chair of Scottish Friendly and Fidelity Life Insurance Ltd and chairs the Audit Committee at Fidelity Life Insurance (Ireland) DAC. His former corporate roles included MD of Pearl Life Ltd, CEO of Scottish Re Ltd and CEO of Swiss Re Life and Health Australia.

Non-Executive Director

Peter is an experienced Finance Director who has held senior roles in industry across the world. He is fluent in English and Mandarin and, together with financial skills acquired over a period of more than 25 years, Peter brings experience in a wide range of other areas, including Information Technology, business planning, project management and strategic acumen. Peter now runs Corvus Management Services Ltd, a Management and Consulting Company based in Hong Kong which provides family management services. Peter joined Hampden & Co in 2015.

Graeme is a qualified Chartered Accountant and Chartered Banker with over 25 years’ experience in the banking industry. He was Head of Finance at Adam & Company before joining Scottish Widows Bank in 1993 as Finance & Operations Director and where he became Managing Director in 2003. Graeme joined Hampden & Co in 2013. He was a Council member at the Chartered Banker Institute and Vice-President from 2007 to 2010.

Andrew is a qualified Chartered Accountant with over 10 years’ experience in the banking industry. After qualifying, he started his career in finance with Scottish & Newcastle plc, before joining the Royal Bank of Scotland Group in 2004. He became Finance Director of Adam & Company in 2006 and joined Hampden & Co in 2011.

As a member of the Senior Management team, Stuart is a Chartered Banker and Fellow of the Chartered Banker Institute with over 35 years’ experience in the banking profession, working initially for Clydesdale Bank, before joining Adam & Company in 1987 where he was Operations Director and Company Secretary. After a short period with Bank of New York, he joined Hampden & Co in 2011.

Andrew has over 25 years’ experience in financial services, starting his career with Lloyds Bank before moving to Coutts, where he helped develop Coutts’ wealth management proposition, becoming Head of Product for the Coutts Group in 2001. In 2004 he co-founded RBS Asset Management, where as Sales and Marketing Director he expanded RBS’s private client investment management business in Europe and Asia. More recently he was Commercial Director for Aegon Asset Management Europe, guiding the Aegon group’s European growth across its three constituent investment management firms. Andrew joined Hampden & Co in 2019.

Alison is also a member of the Senior Management team, and is a Chartered Accountant with over 20 years’ experience in the banking industry. She was previously part of the senior team that established Scottish Widows Bank where she became Head of Business Risk. Alison joined Hampden & Co in 2014.

Keith has over 20 years’ experience in People / HR strategy, operations and organisational change through holding senior business facing HR roles in UK and global organisations.

He is a Fellow of the Institute of Personnel and Development and a Board member of the Fet-Lor Youth Club.

Managing Director, Banking

Jeremy leads the banking team for Hampden & Co, ensuring that the team deliver exceptional service, as well as looking after clients himself. 

Jeremy started his career with NatWest in 1980, before joining Hill Samuel Bank in 1989. In 1997, he moved to Adam & Company where he was a Banking Director until 2013, when he joined Hampden & Co. He has, for many years, looked after a considerable number of clients involved in the art and antique sectors. 

Outside of banking, Jeremy is a Trustee of the St James’s Conservation Trust.

Jeremy has a keen interest in most things relating to cars.

The Hampden & Co name

Our relationship with the Hampden Group extends over several years, when synergies between Scoban PLC (our founding name) and the Hampden Group could be seen. The Hampden name was felt to embrace the importance of the London based Lloyd’s members’ agency, as well as having a strong resonance in Scotland.

The Hampden group took its name from John Hampden who was a Westminster politician reputed to have been influential in preventing King Charles I from invading Scotland, and was killed in battle in 1643. His name was also adopted for the area in which the Scottish national football stadium, Hampden Park, is located.

2020 Annual General Meeting (AGM)

The Hampden & Co AGM was held at 09:00 a.m. on 26 May 2020 at 9 Charlotte Square, Edinburgh EH2 4DR.

As a result of the Covid-19 pandemic and the measures in place preventing any non-essential travel or public gatherings, shareholders were not permitted to attend in person. Several changes were made to the format of the meeting and shareholders were notified of these in writing.
